These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Scenely Studio ("Scenely," "we," "us," or "our"), a sole proprietorship owned and operated by Dawn Feng, governing your access to and utilization of the website located at scenelystudio.com (the "Site") and the virtual staging services (the "Services") provided therein. By accessing the Site or initiating an order, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to the entirety of these Terms, you are expressly prohibited from using the Services.
1. The Services
Scenely provides professional-grade virtual staging services whereby User-submitted photographic representations of vacant or under-furnished real property are digitally enhanced with furnishings and decor. These deliverables are produced through a proprietary workflow integrating artificial intelligence staging technologies and professional human oversight. Available ancillary services, including virtual decluttering, twilight exterior enhancement, and renovation visualization, are subject to these same Terms as further detailed on the Site.
2. Eligibility & Authority
The Services are intended solely for individuals who are at least eighteen (18) years of age and possess the legal capacity to enter into binding contracts. If you are accessing or using the Services on behalf of a legal entity, you represent and warrant that you possess the requisite authority to bind such entity to these Terms.
3. Orders, Pricing & Payment
Pricing and service packages are set forth on the Site and are subject to modification at Scenely's sole discretion. The applicable rate for any Service shall be the price quoted at the time of order confirmation and checkout.
Payment for Services is required in full at the time of checkout. All financial transactions are processed via secure third-party payment gateways. User hereby authorizes Scenely to charge the designated payment instrument for all fees incurred.
The User shall be responsible for all applicable sales, use, and value-added taxes arising from the purchase of the Services.
Subscription-based Services shall automatically renew according to the billing cycle selected at the time of enrollment. Cancellation must be effected in accordance with the procedures specified on the Site.
4. Turnaround
Scenely utilizes commercially reasonable efforts to deliver the Services within the estimated timeframes provided at the time of order. User acknowledges that these delivery targets are estimates and do not constitute a guarantee of performance. Factors including, but not limited to, order volume, holiday schedules, and the quality of submitted materials may impact actual delivery dates.
5. Your Content & the License You Grant Us
User represents and warrants that they possess all necessary title, rights, and licenses to the photographs and content submitted to Scenely and that such content does not infringe upon the intellectual property or privacy rights of any third party.
User grants Scenely a perpetual, non-exclusive, worldwide, royalty-free license to use, host, reproduce, and modify the submitted content solely for the purpose of fulfilling the requested Services, including processing via third-party AI platforms.
Subject to User's prior consent, Scenely may utilize anonymized before-and-after imagery for promotional and portfolio purposes. User may revoke this authorization at any time via written notice to hello@scenelystudio.com.
6. Revision Policy
Each order includes one (1) complimentary round of revisions, restricted to the remediation of technical defects, including but not limited to improper scale, perspective misalignment, or digital artifacts. Revision requests must be submitted within seven (7) days of delivery.
Requests involving a material deviation from the original order specifications — such as changes in room designation, aesthetic style, or furniture preferences — are excluded from the complimentary revision policy and shall be processed as new orders at the then-current standard rates.
7. Intellectual Property & Deliverables
Upon receipt of full payment, Scenely grants User a non-transferable, limited license to utilize the delivered images solely for the marketing and listing of the specific real property identified in the order.
Scenely retains all right, title, and interest in and to its proprietary methodologies, software, and templates. All Site content remains the exclusive property of Scenely and is protected by applicable intellectual property laws.
8. Regulatory Compliance & Disclosures
User acknowledges that virtually staged images are digital simulations intended for illustrative marketing purposes and do not represent the actual physical condition of the property.
User assumes absolute responsibility for ensuring that any use of the Services complies with all relevant jurisdictional laws, industry regulations, Multiple Listing Service (MLS) rules, and state disclosure mandates. Scenely does not provide legal advice regarding regulatory compliance.
User agrees not to use the Services to facilitate fraudulent misrepresentations, including the concealment of structural damage or the deceptive alteration of permanent physical characteristics.
9. Prohibited Use
User is strictly prohibited from: (a) submitting unlawful or infringing content; (b) requesting alterations intended to deceive third parties; (c) attempting to circumvent the security or operation of the Site; or (d) utilizing the Services in violation of any applicable local, state, or federal statute.
10. Disclaimers
THE SERVICES AND DELIVERABLES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENELY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SCENELY DOES NOT GUARANTEE THAT THE SERVICES WILL RESULT IN A TRANSACTION, INCREASED PROPERTY VALUE, OR ANY SPECIFIC COMMERCIAL OUTCOME.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SCENELY SHALL NOT BE LIABLE FOR ANY INDIRECT, CONSEQUENTIAL, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS. SCENELY'S AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY THE USER TO SCENELY FOR THE SPECIFIC ORDER UNDERLYING THE DISPUTE.
12. Indemnification
User agrees to indemnify, defend, and hold harmless Scenely from and against any and all claims, liabilities, losses, and expenses (including reasonable attorney fees) arising from: (i) User's submitted content; (ii) User's use or public dissemination of the deliverables; or (iii) User's breach of these Terms.
13. Cancellations & Refunds
Pay-As-You-Go Orders
Orders may be cancelled for a full refund prior to the commencement of production. Once staging production has initiated, all fees are non-refundable due to the bespoke nature of the Services. Delivered images are deemed accepted and non-refundable.
Memberships (Monthly & Annual)
Memberships may be cancelled at any time. Cancellation takes effect at the conclusion of the then-current billing period, and no further charges will be assessed thereafter. Fees already paid for the current billing period are non-refundable, and Scenely does not issue partial or prorated refunds upon cancellation.
Through the end of the current billing period, User retains access to any listings and virtual declutters remaining within that period’s allotment. Unused allotments expire at the conclusion of the billing period and do not carry forward. The foregoing applies equally to monthly and annual memberships. Scenely may, in its sole discretion, extend goodwill accommodations in individual circumstances; any such accommodation shall not constitute a waiver of these Terms.
Add-Ons & Rush
Fees for ancillary add-ons and expedited "Rush" delivery are non-refundable once the respective Services have been fulfilled.
Delivered Products
Discrepancies or defects in delivered imagery shall be addressed via the Revision Policy set forth in Section 6 and do not constitute grounds for a refund.
14. Termination
Scenely reserves the right to suspend or terminate User access for any material breach of these Terms. Obligations regarding intellectual property, indemnification, liability limitations, and governing law shall survive any termination of this agreement.
15. Governing Law & Disputes
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any legal action arising hereunder shall be brought exclusively in the state or federal courts located within the State of California.
16. Changes to These Terms
Scenely reserves the right to amend these Terms periodically. Notice of material changes will be provided via the Site. Continued use of the Services following such modifications constitutes User's acceptance of the revised Terms.
